1. Agreement to Terms

By accessing or using VocoAgents ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

VocoAgents is a SaaS platform providing AI-powered voice agent services for customer service, appointment scheduling, and automated communication campaigns.

2. Use of Service

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.

2.2 Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

2.3 Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, including telemarketing regulations (TCPA, Do Not Call lists)
• Send spam, unsolicited communications, or harassing messages
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use automated means to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service

3. Intellectual Property Rights

3.1 Our Content

All content on the Service, including but not limited to text, graphics, logos, images, videos, audio clips, software, and compilation of content (collectively, "Content"), is the property of VocoAgents or its licensors and is protected by copyright, trademark, and other intellectual property laws.

3.2 Prohibition on Copying Media

You are expressly prohibited from copying, downloading, reproducing, distributing, modifying, or creating derivative works from any media (including images, videos, audio files, logos, or graphics) displayed on this website without our prior written consent. Unauthorized use of our media may violate copyright, trademark, and other laws and may subject you to legal action.

3.3 Ownership of Platform Technology

Your use of the Service does not grant, transfer, or convey any ownership rights, title, or interest in or to the underlying technology, including but not limited to:

• Source Code: All software code, scripts, algorithms, and programming that powers the Service
• AI Prompts and Models: All AI prompts, prompt engineering techniques, model configurations, and training data
• Technical Infrastructure: APIs, databases, server configurations, and system architecture
• Proprietary Tools: Any tools, utilities, frameworks, or methodologies developed by VocoAgents
• Trade Secrets: Any confidential processes, techniques, or know-how used to deliver the Service

VocoAgents retains all right, title, and interest in and to the Service and all related intellectual property. You are granted only a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. This license terminates upon cessation of your use of the Service.

3.4 Your Content

You retain ownership of any content you submit to the Service (campaign scripts, prospect data, recordings). By submitting content, you grant us a limited license to use, store, and process it solely for providing the Service.

4. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

• Scheduled maintenance may temporarily interrupt service
• We may update features, pricing, or functionality
• We are not liable for any interruption or modification of the Service

5. Fees and Payment

5.1 Subscription Fees

Certain features of the Service require payment of fees. By subscribing, you agree to pay all applicable fees as described on our pricing page.

5.2 Billing

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• Usage-based fees (calls, SMS) are billed monthly in arrears
• All fees are non-refundable except as required by law
• We may change our fees with 30 days' notice

5.3 Payment Method

You authorize us to charge your designated payment method. If payment fails, we may suspend or terminate your account.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in the Privacy Policy. You are responsible for ensuring you have proper consent to use prospect data in your campaigns.

7. Compliance and Legal Requirements

7.1 Telemarketing Compliance

If you use our Service for outbound calling campaigns, you are solely responsible for compliance with all applicable laws, including:

• Telephone Consumer Protection Act (TCPA)
• National Do Not Call Registry requirements
• CAN-SPAM Act for email communications
• Local and international telemarketing regulations

7.2 Data Protection

You are responsible for compliance with data protection laws (GDPR, CCPA, etc.) when collecting and processing personal data through the Service.

8. Termination

8.1 By You

You may cancel your account at any time through your account settings or by contacting support.

8.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• Your account is used for fraudulent or illegal activities
• Payment for your account is past due
• We are required to do so by law

8.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period. You remain liable for all fees incurred before termination.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOCOAGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless VocoAgents and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Dispute Resolution

11.1 Informal Resolution

If you have a dispute with us, please contact us first to attempt to resolve it informally. We will work in good faith to resolve any issues.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VocoAgents operates, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and VocoAgents regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
